Bylaws of the LONG BEACH MERCHANTS ASSOCIATION

 

  1. Name

 

The name of this organization shall be Long Beach Merchants Association [LBMA].

 

  1. Purpose

 

The mission of the LBMA is to foster member success and grow the economy of the Long Beach Peninsula.

 

III. Membership

 

LBMA shall have three (3) categories of membership; Full Membership, Associate Membership, and Honorary Membership.  No person shall be excluded on the basis of race, creed, sex or national origin.

  1. Full Membership: Full membership of LBMA is open to any merchant or business who does a substantial business by, through, or in the city of Long Beach, and who has paid membership dues to LBMA.
  2. Associate Membership: Associate membership of LBMA is open to any non-business person expressing an interest in LBMA activities and/or assisting in such activities, and who has paid membership dues to LBMA.
  3. Honorary Membership: Honorary membership of LBMA may be granted to any person expressing an interest in LBMA activities and/or assisting in such activities.

 

 

  1. Voting Rights

 

Voting privileges shall be extended to all members of LBMA who are in good standing and who has paid membership dues to LBMA.  Honorary membership shall not be granted voting privileges, but are encouraged to join as Associate Members in order to obtain voting privileges.  Individual businesses shall be entitled to cast one vote.

 

  1. Dues

 

Full membership dues shall be the dollar amount set by a majority vote of the membership.  Associate membership dues shall be one-half the cost of the dues amount for full membership.  Honorary membership shall not be charged dues.

 

  1. Meetings 

 

  1. Regular Meetings: Regular meetings of the membership shall be held on the first Friday of each month, unless otherwise ordered by the Long Beach Merchants or by its Board of Directors at such time and place as membership shall from time to time prescribe and shall be published to the membership. Anyone wishing to address the regular meeting will have to request in advance that they be on the agenda.

 

  1. Special Meetings: Special meetings of the membership may be called by the President, the Board of Directors, or upon the written petition of not less than ten (10) members. Members or guests wishing to present political or sales speeches or any topic that is in duration five (5) minutes or longer will be handled at a special meeting.

 

  1. Quorum: Except as herein otherwise provided, ten (10) voting members and two (2) officers shall constitute a quorum.

 

  1. Annual Meeting: The first meeting of the fiscal year shall be known as the annual meeting and shall be for the purpose of installing officers, receiving reports of officers and committees, and for any other business that may arise.

 

VII. Dues

 

  1. Membership dues shall be billed in September, due no later than the last day of December, and be valid for the coming calendar year. Dues shall be payable in full. Dues shall be in such amount or amounts as shall be fixed by a majority vote of the members in attendance.

 

  1. Any member whose dues remain unpaid as of the due date shall be delinquent, and after ninety (90) days in such delinquent status may be dropped from membership by majority vote of members in attendance.

 

VIII. Officers

 

  1. Only members in good standing shall serve as officers or directors of the association, except as may otherwise be set forth in these Bylaws. Members in good standing are defined as those members who have completed all requirements for membership in the organization and whose dues are not delinquent. An Honorary Member may not be considered as an officer or director.

 

  1. Any member in good standing may present a motion to the Association for the recall of an officer, board member or otherwise elected official. The Association may, by majority written ballot, recall any officer, board member or otherwise elected official of the Association.

 

  1. The officers of LBMA shall be: President, Vice President, Secretary, and Treasurer. LBMA officers shall also act as Public Information Officers (PIO) and media inquiries should be directed to the PIO at all times. The primary responsibility of a PIO is to provide accurate information to the media and public at all times.

 

  1. The President shall be present at all meetings, enforce the Bylaws, and have general supervision of the interests of the Association. The President shall have the power to appoint all new special and new standing committees, and shall appoint an agenda coordinator.

 

  1. The Vice President shall be an ex-officio member of all committees except the nominating or election committee, and shall be the chair of the membership committee. The Vice President shall be responsible for membership dues billing.

 

  1. The Secretary shall keep the minutes of all meetings of LBMA and of its Board of Directors. The Secretary shall be responsible for all correspondence as directed by the President and membership records, officer records, and notifying members of all meetings, time and place.

 

  1. The Treasurer shall receive all monies of the Association, excepting monies donated exclusively to specific festivals by benevolent societies or foundations, and to disburse the same in accordance within an approved budget or upon proper orders of the Board of Directors. He/She shall keep itemized balances, and render a financial statement at each meeting, at the end of each fiscal year, at the end of the Treasurer’s term of office, and at such other times as may be ordered by the Board of Directors.

 

  1. In the absence of the President, the officers shall preside in order previously listed.

 

  1. The term of office shall be for one year, and no officer shall serve more than two consecutive terms in one office.

 

  1. Board of Directors

 

  1. The Board of Directors may act in an advisory capacity in the formulation of policy, plans and programs for conduct of affairs of the LBMA. The Board of Directors shall have final approval authority over the proposed budget.

 

  1. The Board of Directors may provide for an annual review of LBMA’s financial affairs and for an annual financial report to the general membership.

 

  1. The Board of Directors shall submit a budget to the membership.

 

  1. The Board of Directors may ensure that the Treasurer files appropriate Federal and State tax forms and statements required of non-profit corporations, when appropriate. The Board shall audit the Treasurer’s accounts at the close of the fiscal year or termination of office and report at the annual meeting.

 

  1. There shall be five (5) directors. Three of the directorships are to be filled by election from the membership at large for terms of three years, with one directorship to open each year. Two of the directorships are to be filled by Immediate Past-Presidents of the Association for terms of two years each. Whenever there is an unscheduled vacancy in the Board of Directors, the remaining term of the vacant directorship is to be filled by election from the membership at large. Only members in good standing of the Association may be directors, however past directors are encouraged to attend current board meetings for the purpose of providing historical information concerning past LBMA business to the current board. Any board member may be made responsible for counter-signing checks.

 

  1. Elections

 

  1. The President shall appoint an Election of Officers and Board Members Nominating Committee of six [6] from the members at large at the October General Meeting each year. The Nominating Committee shall report at the December General Meeting during which time nominations from the floor shall also be called for.  All nominees must be members in good standing of the Long Beach Merchants Association.

 

  1. An election by ballot shall take place at the December meeting and the new Officers and Directors shall assume their duties at the first meeting in January.

 

  1. A Vacancy in the office of President shall be filled by the Vice President, who shall become President. A vacancy in any other office shall be filled or appointed by the Board of Directors for the remainder of the term.

 

  1. Committees

 

  1. The President shall appoint a Membership Committee promptly after each annual meeting. This committee will normally be chaired by the Vice President and shall consist of four (4) additional members. It shall be the duty of this committee to solicit additional members from all eligible persons, including past members.

 

  1. Festival committees shall exist at the discretion of the Board of Directors and include a Board-approved chairperson and at least one (1) officer or board member.  Standing Festival committees shall be responsible for budgeting, planning, promoting and carrying out all activities required to produce and direct the festival.  Committee chairpersons shall develop, and/or maintain a binder which includes all necessary information for their successor.  The committees shall submit to the Treasurer a detailed budget each October, for the following year.  Prior to any disbursements by the Treasurer, budgets must be Board-approved and invoices Chairperson-approved. Mailing lists compiled by these Standing Committees shall be the sole property of said committees and the LBMA and shall not be used for non-Association purposes.

 

  1. The President may appoint a Tourism Committee. The composition and number of members of this committee shall be as deemed appropriate to generally review, research and/or initiate ways and means of promoting tourism in and around the City of Long Beach.

 

  1. Such other committees, standing or special, shall be appointed by the President as deemed necessary to carry on the work of LBMA.

 

XII. Fiscal Year

 

The fiscal year of LBMA shall be January 1 to December 31.

 

XIII. Copyrights

 

Any artwork or material purchased or otherwise acquired by the Association, or a committee thereof, is to become the sole property of the association, by copyright whenever applicable, to use and dispose of at the Association’s discretion.

 

 

XIV. Rules of Order

 

In all matters of parliamentary practice, the latest edition of “Roberts Rules of Order” shall be used as authority.

 

  1. Indemnification

 

The Association may, by resolution of the Board of Directors, provide for indemnification by the Association of any and all of its directors, officers, committee members, or former directors, officers or committee members, against expenses actually and necessarily incurred by them in connection with the defense of any legal action, suit, or proceedings in which they or any of them are made parties, or party, by reason of having been directors, officers, or committee members of LBMA, except in relation to matters as to which such director, officer, or committee member shall be adjudged in such action, suit or proceedings to be liable for negligence or misconduct in the performance of duty and to such matters as shall be settled by agreement predicated in the existence of such liability for negligence or misconduct.

 

 XVI. Amendment of Bylaws

 

Any regular meeting of LBMA can amend these Bylaws by a two-thirds vote, provided that the amendment has been submitted in writing at the previous regular meeting.

 

 

These Bylaws, replacing all previous Bylaws, were adopted as amended this Tuesday, September 09, 2014.

CALL TO ORDER at 8:04am by President Steven Linhart

INTRODUCTIONS (5 min) upon call to order there were only 4 or 5 members present.  A motion was made by Natalie Hanson motioned to cancel the September meeting and move it to August. Brent Dennis seconded.  All in favor and none opposed.  The motion was acknowledged again upon several more members appearing late to the meeting with no opposition by the new members.  September 2014 Sign In Sheet

 APPROVAL OF MINUTES (1 min) Brent Dennis motioned for approval, Laura Price second, all in favor. None opposed.

 TREASURER’S REPORT (2 min) was given by Treasurer Lacie DeWitt.  Steven believes that at the end of the year the Kite Festival funds will be moved under the WKM umbrella.  Treasurer Report Sept 2014

 MEMBERSHIP REPORT (2 min) Lacie and Holly have the list from the city and will be sending out 2015 invoices.

 UNFINISHED BUSINESS (10 min)

  • LBMA By-Law Revisions
    • Adoption scheduled for October 2014. Draft found online and will be sent out to the membership via email within the next week.
  • Keleigh Schwartz representing the Small Business Management Program asked why the LBMA is not participating in the matching scholarship program. Steven reported that the gentleman had not showed up to the board meeting to present the information as he had requested.  Since there was no presentation to the board, they had not been in favor of granting the matching donation request.  Steven asked for Keleigh to ask him back to present at a general membership meeting.  Lacie mentioned that he may have come earlier in the spring.

 NEW BUSINESS (10 min)

  • 2015 Officer Nominations
    • Need new officers for all slots for 2015. Steven Linhart nominates Myron Barnum from Cedars Ocean View Inn as President.  More nominations will be taken in October with election scheduled for November.
  • EDC Nominations
    • Please email secretary@longbeachmerchants.com with nominations. (The South Board for the EDC has chosen the Adrift Hotel & Pickled Fish Restaurant as their Business of the Year.)  Our nominee is due by September 15!  Pacific County EDC Business of the Year nomination
      • Lacie DeWitt of Salon LOL and ELKS Lodge BPOE 1937 have been nominated. We are still taking more nominees!
    • Jay Personius with Port of Peninsula has entered into an economic development program. Study done within port district (Seaview to Nahcotta) says that an event center within the area is needed.  Proposal with the Trails assoc about hosting a large gathering – just not feasible for room counts and break out rooms, etc.  Long Beach completed research on this 20 years ago which Jay has a copy of.  Port would like to finance the project themselves or in conjunction with another entity.  Need is for 300-350.  Gene Miles is concerned that we don’t have the ability to serve large groups during the summer months.  Ruth Ann Hocking was involved 20 years ago and has some information to share with Jay.

  • Beach to Chowder Run/Walk and Half Marathon [Jeff Harrell (Sherry Hash)] half marathon is coming up soon! Beach to Chowder went well, lots of people from long ways away.
  • Doggie Olympic Games [Danielle Miller (Holly Beller)] ready for next year!
  • SandSations [Jenny Lombardo/Joyce Rangila (Holly Beller)] Jenny is no longer our chair, Joyce will be working on updating the website.
  • Jake’s Birthday [Wendy Murry (Lacie DeWitt)] success!
  • Kite Festival [Jane Holman (Steven Linhart)] Holli Kemmer will be replacing Jane Holman. Holli reports that the sales booth did very well this year. Finalizing invoices.
  • Holidays at the Beach [Holly Beller (Lacie DeWitt)] Will be meeting with Mrs. Claus and Natalie Hansen about this year’s event. Dates for next year will stay the same.

  • Loyalty Days [Bob Andrew (Loyalty Days Foundation)] Speaker and Grand Marshall have been finalized. Loyalty Days sells flags year round as fundraising for the event.
  • Surf Perch Derby [Marla Johnson (Long Beach Lion’s Club)]Will happen again next May
  • Summerfest/Columbia Pacific Farmer’s Market [Ragan Myers/Gayle Borchard (City of Long Beach)] no report. Some question about when the market ends.
  • Long Beach Elk’s Lodge [Maureen Gilbert (BPOE No.1937)] Natalie Hansen gave report. Sept 18 is the honorary dinner for First Responders.  Any parent with a child can golf for free at the Peninsula Golf Course and the elks will pay.

  • Long Beach Peninsula Visitor’s Bureau Board [Holly Beller] Chinese tourism is up this year 140% over 2013. Any and all media leads should be directed to Andi at the VB. No meeting in August. Next meeting at the Shelburne.  MEETING CANCELLED FOR SEPTEMBER
  • Liaison to Long Beach City Council [Steven Linhart] ATV ordinance is in the books. RV Assoc. is working with the city about water/sewer rates.

NEW BUSINESS (10 min)

  • YES Club and Wellspring Community Network, Lindsey Hylton

o   A coalition of different groups within the community with a focus on preventing substance abuse.  HS students taking part in a state wide event for prevention of youth substance abuse.  The Let’s Draw the Line campaign has several parts.  The one most recent was the can campaign where students found random stores which sell alcohol.  Students assessed the community environment, advertising, healthy food options and product placement.  Placed bottle tags on alcohol warning fines and jail in order to get adult attention and consequences of supplying alcohol to youth.  Per survey, youth alcohol use is going down since 2012.  Students found that the alcohol is being placed in the back of the store and without advertising and placement near junk food.  360-783-1090 to contact Lindsey.

o   Many children on the peninsula are below poverty level. Teachers are supplying children with the supplies that are needed.  So a campaign was started in conjunction with Fire Dist 1, Chinook Observer and Peninsula Baptist.  Coastal Community Network could supply the materials but not the back packs.  Last year 5k was raised but this year CCAP is not involved and so far over 6k has been raised but the goal is 10k due to the lack of funding from CCAP.  Average cost last year for supplies per student was $80 without the back pack.  Goal would get 350 backpacks and about $20 in supplies in each pack.  360-665-2327 to reach Bill or Gloria Buck.

  • Pacific Count EDC, Paul Philpot

o   ACRE = Attract, Create, Retain, and Expand.  EDC attracts businesses from outside the area, looks to keep them within the community and then grow the business.  360-642-9330

  • Beach to Chowder Run/Walk and Half Marathon [Jeff Harrell (Sherry Hash)] less than a week to go!  Rack cards are here and ready to put in your business!  150 people registered for the beach run.  Doogers is doing the chowder this year.
  • Doggie Olympic Games [Danielle Miller (Holly Beller)] Radio ads are on and swag bags are being stuffed.
  • SandSations [Jenny Lombardo/Joyce Rangila (Holly Beller)] Supplies for bonfire for 100 people.  $2500 worth of fireworks on Friday night is ready. 2 master’s teams and a 3rd is being worked on.  Same weekend as Sand in the City in PDX.  Dennis Company will be supplying sand tools to be sold at the beach.  Judges still needed.  Cedars have 2 more judges.
  • Jake’s Birthday [Wendy Murry (Lacie DeWitt)] needs a bounce house.  Nikki with OMG suggested calling the Seaside Factory Outlets bounce place.  First year of doing official sponsorships and they are getting good response!  $50 gets you on the shirt, less than $50 will get you placement elsewhere but not on the t-shirt.  Vintage Roadside who dies the t-shirts takes the shirts and information to all of his events.
  • Kite Festival [Jane Holman (Steven Linhart)] Holli Kemmer is the new Development and Events Director for the Kite Museum and will be taking over the Kite Festival from Jane Holman who will be retiring.
  • Holidays at the Beach [Holly Beller (Lacie DeWitt)] this will be the last year for Holly as chair.

  • Summerfest/Columbia Pacific Farmer’s Market [Ragan Myers/Gayle Borchard (City of Long Beach)] Summerfest this weekend is the Lonesome Highway Band.  Balloon artist will be twisting balloons in the gazebo.  Next week, Friday the 13th will be the opening of the Columbia Pacific Farmers market with expanded hours 3-7. Greg Parke will be on the stage!
  • Long Beach Elk’s Lodge [Maureen Gilbert (BPOE No.1937)] June 21st will be the Golf tourney for Food4kids.  Runs about 15k for the year including back packs.  Last year 74 kids needed the back packs.  The golf tourney is the only fundraiser for this campaign.  Tourney is a scramble and includes a fish taco dinner. Needs raffle prizes and PLAYERS!  At Peninsula Golf Course.  Starts at Noon with a shot gun start.  Free Golf Clinic for kids on Sunday Jun2 22nd and 29th at surfside golf course. 360-642-8244 to reach Natalie Hanson.  Limit is 25 kids!

o   2014 membership is up over 2013, ad going into Alaska Airlines Magazine, over 65 different media pick-ups for Clam Festival.  Next meeting at Chen’s

  • Liaison to Long Beach City Council [Steven Linhart] numbers for sales tax and lodging or OMG up…..the best year EVER and it is only June.  Kudos to Andi Day and Ragan Myers!
  • Liaison to Long Beach Marketing Committee [Sue Ellyson] there will be a new chair appointed now that Sue is working for the city.  Cost for Swag bags for the cruise ship guests (chap sticks, taffy, etc) was approved.  Few more ideas in the works for presentation to city council.  (Treasure Hunt and tear sheet map with business and activities)  Hospitality tours will begin in the fall again with a new name of Tourism Ambassador Certification.

TREASURER’S REPORT (2 min) given by Treasurer Lacie DeWitt.  Nikki Whittle mentioned that she may have a new sponsor for SandSations  LBMA Treasurer report May 2014

MEMBERSHIP REPORT (2 min)  2 new members this month of the Bead Shop, and Peninsula Golf Course. Total of 84.

UNFINISHED BUSINESS (10 min)

  • Mission Statement and By-Laws- Steven asked if anybody had read the bylaws and mission statement and have input/suggestions.  One board Member (Ruth Ann Hocking) reviewed.  Steven asked everyone to please review and give input to secretary.

NEW BUSINESS (10 min)

o   Board has reviewed and recommends the request move forward to the general membership for approval.  Ned has provided a list of the schools that are attending and how many nights attending and where staying.  Furthest is Cashmere team that came from 180 miles away and have 3 nights at the breakers.  Ragan Myers asked if we can do the LBMA logo on the arm rather than the back of the shirt.  Motion to approve by Craig Smith, second by Curb Side Appeal. All in favor and none opposed.

  • The Bead Shop has a variety of everything, fresh look in the shop – come check it out! Business seems slowed a bit.  Bead classes will start up again soon!  They have done bead clinics in the school.  Sue suggested that if they bring cards to the local hotels.
  • CresComm has 2 WIFI spots that will give 15 minutes of free time

  • Clam Festival [Robyn Schneider (Ruth Ann Hocking)] Good work by the Long City crew salvaging the tents that were blown over.  Tourism survey at chowder cook off.  61% of the people there were staying in paid lodging.  69% were planning on dining out.  Many stated that they would be taking part in other local activities.  At least 60 media pick ups – got as far as San Francisco and Oklahoma.  Got on Longview Daily News, event calendar for USA today.  April 18 & 19 will be the 2015 dates!  Laura Price wondered how many total people, which the event committee is still waiting for those numbers.
  • Beach To Chowder Run/Walk and Half Marathon [Jeff Harrell (Sherry Hash)] OMG will be MC’ing the run.
  • Doggie Olympic Games [Danielle Miller (Holly Beller)] Danielle had the event featured on KOMO4 news yesterday! Medals are here and ready, shirts are being ordered soon.  Volunteer meeting May 12 at 6pm at the Train Depot. Randy Dennis is ordering the dog bowls for around town at business’.  Needs judges!  Must like dogs and people.  SandFlea pet Parade on Sunday.  Judges at 7:30am until end of event.  Judges will get a t-shirt and certificate.
  • SandSations [Jenny Lombardo/Joyce Rangila (Holly Beller)] Don Nesbitt is doing the art work, we need judges!

  • World Kite Museum [Kay Buesing] Patty reports that Spring Break Family fun saw over 2000 people through museum. Museum detective kits were completed as well with 11 merchants contribute coupons and over 200 envelopes went out over spring break.
  • Loyalty Days [Bob Andrew (Loyalty Days Foundation)]As of last night we 120 entries into the parade with some new ones! President Roosevelt is here.  Banquet on Saturday evening will feature the next in series of Don Nesbit collectibles. Loyalty Days foundation float has new features so take a special look at that when it comes by.  We are ready Rain or Shine!

  • Summerfest/Columbia Pacific Farmer’s Market [Ragan Myers/Gayle Borchard (City of Long Beach)]Summerfest starts Memorial Day weekend, rack cards are going out.  Farmers market is oening on June 13.  Ragan will be meeting with Katie soon and Farmers market rack cards will be done soon.  Next Hospitality is May 7th
  • Long Beach Elk’s Lodge [Maiko Minami (BPOE No.1937)]Oyster feed this Saturday from 1-4, Loyalty Day banquet that evening.  Band tonight.  Back packs went out to schools yesterday.  One of the parade drill teams will be staying upstairs. The Elks is now involved with scouting and have 3 eagle scouts this year!  Scouts are in need of funds, please see Natalie Hanson.  Also, veterans pictures on the Veterans Wall are welcomed, attn Jerry Philips.  Looking for an Army sword for the wall.  Free Golf clinic in June.

Counterfeit Currency Alert!

It has come to our attention we have had three merchants received counterfeit currency over the past couple of weeks.  I know it’s tough enough to make money and strike while we have tourism in swing.  However this is when the bad guys like to strike.

I have attached a few items that can help you identify counterfeit currency.  If anyone would like  specific help I am more than happy to come to your business and provide training/information one on one or in a group setting.

It is important if you have an incident and or have information that you notify our local police.  Especially if you have details of who may be passing the counterfeit money.  However I caution you that the person passing the money may or may not know its counterfeit.
